Please read these terms carefully. By accessing or using Wimo, you agree to them. Product-specific terms, fee schedules and partner terms shown when you activate or use a service also apply. Mandatory consumer protections under applicable law are not excluded.
1. Acceptance and scope
These Terms and Conditions (“Terms”) form an agreement between you and Wimo (“Wimo”, “we”, “us” or “our”). They apply to the Wimo website, client and merchant applications, point-of-sale software, payment links, QR services, cards, wallets, cash services, APIs and related services that refer to these Terms (together, the “Services”).
If you use the Services for a business or another organisation, you confirm that you are authorised to bind that organisation. “You” then includes that organisation. If separate terms conflict with these Terms, the specific terms apply to that service to the extent of the conflict.
2. The Services
Wimo provides technology that helps clients, merchants and approved partners initiate, accept, manage and track supported payments. The available features, currencies, payment methods, limits and settlement times vary by country, account type and provider.
Some payment or financial services are supplied or processed by banks, mobile-money operators, payment processors, card networks, identity providers or other regulated partners. Their terms may also apply. Nothing on the website is financial, legal, tax or investment advice.
3. Eligibility
You must be at least 18 years old, have legal capacity to contract, and be permitted to use the Services in your country. Business users must be properly established and authorised to operate. You may not use the Services if we or a provider has suspended you, or if use would violate law, sanctions or network rules.
4. Accounts and security
You must provide accurate, complete and current information. You are responsible for safeguarding passwords, PINs, one-time codes, devices, API credentials and other authentication methods, and for activity performed through your account unless applicable law provides otherwise.
- Use unique credentials and do not share them with unauthorised persons.
- Tell us promptly if you suspect loss, theft, fraud or unauthorised access.
- Keep contact, ownership, address, bank and settlement details current.
- Do not create accounts using false, misleading or another person’s information.
We may treat properly authenticated instructions as authorised, subject to applicable law and our fraud controls.
5. Identity, business and compliance checks
We may require identity, address, business ownership, source-of-funds, tax or other information to meet fraud-prevention, know-your-customer, anti-money-laundering, sanctions and partner requirements. We may use document checks, selfie or liveness checks, automated pre-checks and specialist providers.
You authorise us to verify supplied information against lawful sources and to request updated evidence. We may delay, limit, reject or report activity where required by law, a competent authority, a provider or our reasonable risk controls. We will not tell you about a report where the law prohibits disclosure.
6. Payment instructions, authorisations and disputes
Before confirming a transaction, check the recipient, merchant, amount, currency, fees and payment method. Once submitted, an instruction may be irreversible. A displayed status can change while a provider completes, reverses, refunds, disputes or settles a transaction.
You authorise Wimo and relevant providers to process instructions, debit or credit the selected payment method or balance, perform currency conversion where requested, and share transaction information needed to complete the service. Merchants must deliver the goods or services purchased and handle lawful refund, return and consumer obligations.
Report suspected errors or unauthorised transactions promptly through the contact details below. We may ask for supporting information and will handle the matter under applicable law and relevant provider or network rules.
7. Fees, rates and taxes
Fees, exchange rates, taxes and the total amount payable will be shown in the Service, a fee schedule or a product agreement before they apply, where required. You are responsible for taxes relating to your use of the Services. A bank, mobile operator or other provider may charge separate fees that we do not control.
If an amount is owed to us, you authorise us, to the extent permitted by law, to deduct it from available Wimo balances or collect it using an agreed payment method. We will not make deductions that applicable law prohibits.
8. Acceptable use
You must use Wimo lawfully. You must not:
- commit or facilitate fraud, money laundering, terrorist financing, sanctions evasion or other unlawful conduct;
- sell prohibited, counterfeit, stolen or unlawfully obtained goods or services;
- misrepresent a transaction, split transactions to evade limits or process payments for an undisclosed third party;
- interfere with security, probe systems without permission, introduce harmful code or misuse APIs;
- infringe intellectual property, privacy or other rights; or
- use the Services in a way that exposes Wimo, its users or providers to unreasonable risk.
We may maintain additional acceptable-use or prohibited-business rules for particular products or countries.
9. Third-party services
The Services may link to or depend on third-party products and networks. We do not control their availability, decisions or content. Your use of a third-party service is governed by its own terms and privacy notice. We may change a provider or integration where reasonably necessary to operate, secure or improve the Services.
10. Availability and changes to the Services
We work to keep Wimo available and secure, but do not guarantee uninterrupted or error-free operation. Maintenance, connectivity, provider outages, legal restrictions, fraud controls and events outside our reasonable control may affect availability. We may add, change or discontinue features and will give notice where law or an applicable agreement requires it.
11. Intellectual property and licence
Wimo and its licensors own the Services, software, trademarks, designs and content, except for material supplied by users or third parties. We grant you a limited, revocable, non-exclusive and non-transferable right to use the Services for their intended purpose while these Terms apply.
You may not copy, sell, sublicense, reverse engineer or create derivative works from the Services except where applicable law expressly permits it. If you give us feedback, you permit us to use it without restriction or payment.
12. Suspension, restriction and closure
You may stop using Wimo and request account closure, subject to pending transactions, disputes, reserves and record-retention duties. We may restrict, suspend or close access where reasonably necessary for security, suspected unlawful use, unpaid amounts, inaccurate information, provider requirements, prolonged inactivity or breach of these Terms.
Where lawful and practical, we will notify you and explain available next steps. Closing an account does not cancel rights or obligations that arose before closure.
13. Disclaimers and limitation of liability
To the fullest extent permitted by law, the Services are provided on an “as available” basis and without implied warranties that may lawfully be excluded. We are not responsible for losses caused solely by your breach of these Terms, incorrect instructions, compromised credentials, third-party systems outside our reasonable control or events beyond our reasonable control.
To the fullest extent permitted by law, Wimo is not liable for indirect, incidental, special or consequential loss, including lost profit, revenue, opportunity or data. Any liability that cannot lawfully be excluded or limited remains unaffected, including rights you may have under mandatory consumer-protection law.
14. Business-user indemnity
If you use Wimo for business purposes, you agree to indemnify Wimo against third-party claims, penalties and reasonable costs arising from your unlawful use, your goods or services, your breach of these Terms, or your infringement of another person’s rights, except to the extent caused by Wimo.
15. Changes to these Terms
We may update these Terms to reflect changes to the Services, providers, law or risk controls. We will post the updated version and change the “Last updated” date. Where a material change requires advance notice or consent, we will provide it through an appropriate channel. Continued use after the effective date constitutes acceptance where permitted by law.
16. Governing law and disputes
These Terms are governed by the laws of the Republic of South Africa, without excluding mandatory rights that apply in your country. Before starting formal proceedings, please contact us so we can try to resolve the issue. Subject to mandatory law, South African courts have non-exclusive jurisdiction.
If any provision is unlawful or unenforceable, the remaining provisions continue. A failure to enforce a provision is not a waiver. You may not transfer this agreement without our consent; we may transfer it as part of a reorganisation or business transfer where your legal rights are not reduced.
